REG TECHNOLOGIES ANNOUNCES AMENDED TERMS 
TO PRIVATE PLACEMENT

For Immediate Release: November 24, 2011 Vancouver, BC – Reg Technologies Inc. (TSX Venture Exchange: RRE.V, OTC BB: REGRF) announces amended terms to the private placement announced August 26, 2011. Reg Technologies Inc. is pleased to announce the new terms of the private placement are 3,000,000 units at $0.10 per unit, to raise $300,000, as approved by the board of directors. Each unit will consist of one common share of Reg Technologies Inc. and one warrant. Each warrant shall entitle the holder to purchase one additional share of common stock at a price of $0.15 for one year from the date the units are issued.

Net proceeds of approximately $270,000 from this private placement will be used for completion of the Fabrication and Testing of the RadMax® Demonstration Model, accounts payable, including intercompany payables and redemption of a $20,000 promissory note to a related party, and working capital purposes.

The Company had agreed to pay finder's fees of up to 10% of the proceeds in connection with the private placement, payable upon approval of the TSX Venture Exchange.

The closing of the private placement is subject to the approval of the TSX Venture Exchange.

The private placement is being closed in tranches, with the first tranche anticipated to close as soon as possible.
