Explanation of Responses:
1. Disposed of pursuant to merger agreement between Diamond Management & Technology Consultants, Inc. and PricewaterhouseCoopers LLP, in exchange for cash payment of $12.50 per share on the effective date of the merger.
2. The vested shares from this Stock Appreciation Right were canceled in the merger in exchange for a cash payment, representing the difference between the exercise price of the option and the merger consideration of $12.50 per share, on the effective date of the merger.
3. This Stock Appreciation Right, which provided for vesting in ten equal semi-annual installments beginning May15, 2006, was canceled in the merger in exchange for a cash payment, representing the difference between the exercise price of the option and the merger consideration of $12.50 per share, to be paid out in cash on the effective date of the merger.
4. This Stock Appreciation Right, which provided for vesting in eight equal semi-annual installments beginning November 15, 2008, was canceled in the merger in exchange for a cash payment, representing the difference between the exercise price of the option and the merger consideration of $12.50 per share, to be paid out in cash on the effective date of the merger.
