These Shares are held by ESL Investment Management, L.P. ("ESLIM"). These Shares are held by RBS Partners, L.P. ("RBS"). These Shares are held by Edward S. Lampert. These Shares represent a portion of a single trade which was allocated between Partners and an account that was established by the investment member of Investors.
