Item 5.02 Departure of Directors or Principal Officers; Election of Directors; Appointment of Principal Officers.

 

In a press release dated July 21, 2005, Schmitt Industries, Inc. (the “Company”) announced the resignation of Robert C. Thompson, the Company’s  Chief Financial Officer, effective August 31, 2005.  Mr. Thompson will be leaving the Company to pursue a position with a local technology company.  The press release, entitled “Schmitt Industries Announces Departure of Robert C. Thompson,” is furnished as Exhibit 99.1 to this report.
