Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers

Election of Director

On October 1, 2020, the Board of Directors ("Board") of PPL Corporation ("PPL" or the "Company") elected Arthur “Art” P. Beattie a director of the Company.

Mr. Beattie retired from The Southern Company, having served as Executive Vice President, Chief Financial Officer and Chief Risk Officer from 2010 to 2018. The Southern Company is an American gas and electric utility holding company based in the southern United States. Prior to this role at Southern, Mr. Beattie served as Executive Vice President and Chief Financial Officer of Alabama Power Company, a utility subsidiary of Southern, from 2005 to 2010. Prior to 2005, he served in various executive, officer and management positions for nearly three decades at Alabama Power Company, including as a Vice President, Comptroller and Treasurer. Mr. Beattie will serve on the Audit Committee of the Board. The Board has determined that Mr. Beattie satisfies the requirements for "independence" as set forth in the Company's Independence Guidelines and the applicable rules of the New York Stock Exchange.

As a non-employee director, Mr. Beattie will receive the same compensation paid to other non-employee directors of PPL in accordance with the policies and procedures previously approved by the Board for non-employee directors. There were no arrangements or understandings pursuant to which Mr. Beattie was elected, nor are there any relationships or related transactions between the Company and Mr. Beattie to be disclosed under applicable rules of the Securities and Exchange Commission.
