Organization</b> </div> <div align="left" style="font-size: 10pt; margin-top: 6pt">Hudson City Bancorp, Inc. (“Hudson City Bancorp” or the “Company”) is a Delaware corporation and is the savings and loan holding company for Hudson City Savings Bank and its subsidiaries (“Hudson City Savings”). Each of Hudson City Savings and the Company is currently subject to the regulation and examination of the Office of Thrift Supervision (“OTS”). </div> <div align="left" style="font-size: 10pt; margin-top: 6pt">On March 4, 2010, Hudson City Savings filed an application (the “Application”) with the Office of the Comptroller of the Currency (“OCC”) to convert from a federally chartered stock savings bank to a national bank (the “Conversion”). If the Application is approved, Hudson City Savings will no longer be a federal savings bank subject to the regulation and examination of the OTS and will become a national bank subject to the regulation and examination of the OCC. In addition, the Company will cease being a savings and loan holding company subject to the regulation and supervision of the OTS and will become a bank holding company subject to the regulation and supervision of the Board of Governors of the Federal Reserve System (the “FRB”). We cannot provide assurance as to whether the Application will be approved or the timing of any approval. </div> <div align="left" style="font-size: 10pt; margin-top: 6pt">On July 21, 2010, President Obama signed the Dodd-Frank Wall Street Reform and Consumer Protection Act (the “Reform Act”). The Reform Act, among other things, effectively merges the OTS into the OCC, with the OCC assuming all functions and authority from the OTS relating to federally chartered savings banks, and the FRB assuming all functions and authority from the OTS relating to savings and loan holding companies. </div> <div align="left" style="font-size: 10pt; margin-top: 6pt">Whether the aforementioned Application is approved by the OCC or upon implementation of the Reform Act, Hudson City Savings will be regulated by the OCC and the Company will be regulated by the FRB. </div> </div>  <!-- Begin Block Tagged Note false false false us-types:textBlockItemType textblock Describes the nature of an entity's business, the major products or services it sells or provides and its principal markets, including the locations of those markets.
