         On January 11, 2005, Southern California Edison Company agreed to sell $400,000,000 First and Refunding
Mortgage Bonds, Series 2005A, Due 2016, and $250,000,000 First and Refunding Mortgage Bonds, Series 2005B, Due
2036 ("New Bonds").  For further information concerning the New Bonds, refer to the exhibits contained in this
