Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of
Certain Officers; Compensatory Arrangements of Certain Officers.

      On June 27, 2008, the Board of Directors of Southern California Edison Company
("SCE") elected Theodore F. Craver, Jr. the President of SCE's parent company Edison
International, to serve as a Director of SCE, effective August 1, 2008.  Mr. Craver was
also appointed to the Board's Pricing Committee.
