Item 2.02     Disclosure of Results of Operations and Financial Condition.  

On August 9, 2006, PSS World Medical, Inc. (the “Company”) issued a press release announcing that the Company made a reclassification in its consolidated statement of cash flows for the three months ended June 30, 2006 as a result of adopting SFAS 123 (Revised), Share-Based Payment. This reclassification reduced operating cash flows from those previously reported in a release issued by the Company on July 26, 2006. This press release is attached as Exhibit 99.1 to this report and is incorporated herein by reference. RESULTS IN A $1.2 MILLION REDUCTION TO ITS PREVIOUSLY REPORTED

FIRST QUARTER FISCAL YEAR 2007 CASH FLOW FROM OPERATIONS

 

Jacksonville, Florida (August 9, 2006) – PSS World Medical, Inc. (NASDAQ Global Select:PSSI) announced that as a result of adopting Statement of Financial Accounting Standards, No. 123 (Revised) - Share-Based Payment (“SFAS 123R”), the Company reclassified $1.2 million between cash flow from operations and cash flow from financing activities in its consolidated statement of cash flows during the three months ended June 30, 2006. This reclassification reduced the Company’s operating cash flow from $5.2 million, as previously reported in a release issued by the Company on July 26th, to $4.0 million for the fiscal first quarter ended June 30, 2006.
