This opinion is being delivered to you in connection with the filing of a registration statement (the “Registration Statement”) on Form S-4, which includes the Proxy Statement and Prospectus relating to the Agreement and Plan of Merger dated as of May 6, 2009 (the “Merger Agreement”), among Cenveo, Inc., a Colorado corporation (“Parent”), NM Acquisition Corp., a Massachusetts corporation and a wholly-owned subsidiary of Parent (“Merger Sub”), and Nashua Corporation, a Massachusetts corporation (“Company”).
