This Tender Offer Statement on Schedule TO relates to an offer by the Company to its current employees, employees of its subsidiaries and members of its Board of Directors, to exchange certain options to purchase shares of the Company’s common stock, par value $.001 per share (the “Common Stock”) outstanding under the Company’s 1999 Equity Incentive Plan and 1997 Equity Incentive Plan (together, the “Replacement Grant Plans”), and the Company’s 1997 Non-Employee Directors’ Stock Option Plan, the White Pine Software, Inc. 1993 Stock Option Plan, White Pine Software, Inc. 1994 Stock Option Plan, White Pine Software, Inc. 1995 Stock Option Plan, White Pine Software, Inc. 1996 Incentive and Non Qualified Stock Option Plan, White Pine Software, Inc. 1997 Director Stock Option Plan and ICast Corporation 1996 Stock Option Plan (the “Eligible Options”), for replacement options (the “Replacement Options”) to purchase shares of Common Stock to be granted under the Replacement Grant Plans, on the terms and subject to the conditions set forth in the Offer to Exchange.
