Item 8.01 Regulation FD Disclosure.

Sugarmade Inc., a Delaware corporation (the "Company") makes the following disclosures pursuant to Regulation FD.

Effective June 2, 2017, the Company accepts the resignation of Director Simon Yu. Pursuant to Mr. Yu's resignation letter, Mr. Yu's resignation was not due to any disagreements or conflicts with the Company. Mr. Yu's resignation is necessary to fulfill his obligations and administer his company's operations.

The Company is making this disclosure as it believes such a disclosure may be required pursuant to Section 13 OR 15(d) of The Securities Exchange Act of 1934, generally referred to as Regulation FD Disclosure.
