Item 8.01          Other Events.

 

On August 5, 2005, Wave Systems Corp. (“Wave”) received notification from The Nasdaq Stock Market (“Nasdaq”) indicating that Wave has regained compliance with Nasdaq’s listing requirements.  On April 28, 2005, Wave received notification from Nasdaq indicating that its common stock failed to maintain a minimum bid price of $1.00 over the previous 30 consecutive business days as required by Marketplace Rule 4450(b)(4).  Since then, the closing bid price of Wave’s common stock has been at $1.00 per share or greater for at least 10 consecutive business days.  Accordingly, pursuant to Marketplace Rule 4450(e)(2), Wave has regained compliance with the Marketplace Rule 4450(b)(4).
