Item 5.03(a) AMENDMENTS TO ARTICLES OF INCORPORATION OR BYLAWS,
CHANGE IN FISCAL YEAR.


Effective March 14, 2006, South Carolina Electric & Gas Company (SCE&G) amended its articles of incorporation to reduce, from 55,524 to 52,324, the number of shares of SCE&G’s Cumulative Preferred Stock ($50 par value) 6% Series and to reduce, from $296,413,311.50 to $296,253,311.50, SCE&G’s stated capital. The articles of amendment were adopted to reflect SCE&G’s acquisition of 3,200 shares of its Cumulative Preferred Stock ($50 par value) 6% Series that, pursuant to SCE&G’s articles of incorporation, may not be reissued.

The reduction in authorized shares was incorrectly stated as being 1,000 shares in one part of Item 4(b) of the March 14 articles of amendment but was correctly stated as being 3,200 shares in another part of Item 4(b). On March 17, 2006, SCE&G filed articles of correction to correct the incorrect statement in the March 14 articles of amendment. South Carolina law provides that articles of correction are effective on the effective date of the document they correct except as to persons relying on the uncorrected document and adversely affected by the correction. As to those persons, articles of correction are effective when filed.
