MAXWELL SHOE COMPANY COMMENTS ON JONES APPAREL GROUP’S TENDER OFFER RESULTS

 

Less Than 2% of Maxwell Shoe Company Shares Tendered

 

HYDE PARK, Mass. – April 19, 2004 – Maxwell Shoe Company Inc. (NASDAQ: MAXS) issued the following statement regarding Jones Apparel Group, Inc.’s (NYSE: JNY) tender offer results, which were announced today:

 

With less than 2% of Maxwell Shoe Company’s outstanding shares tendered into Jones’s offer our stockholders have sent a clear message that they too believe Jones’s $20 per share offer is significantly inadequate.

 

Maxwell Shoe Company is one of the industry’s leading footwear manufacturers. Our portfolio of recognized brands covers a wide variety of footwear categories, distribution channels and price points, making Maxwell Shoe Company a destination resource for retailers. Since Jones’s offer was made, we have increased our guidance and announced strong bookings and backlog, giving us confidence that we are on track to meet or exceed our fiscal 2004 goals.

 

We have heard from many stockholders who are supportive of our strategy, our management team, and the steps we are taking to deliver to stockholders the value they deserve. We are confident in our ability to fully realize the value of Maxwell Shoe Company and thank our stockholders for the strong level of confidence that they have expressed. Maxwell Shoe Company’s Board of Directors continues to recommend that stockholders REJECT Jones’s unsolicited tender offer and not tender their shares nor sign any consent solicitations that they may receive from Jones.

Maxwell Shoe Company Inc.
