ITEM 4.01 CHANGE IN REGISTRANT'S CERTIFYING ACCOUNTANT.

On May 5, 2008, the Company replaced its certifying accountant, Michael F. Cronin, CPA ("Cronin CPA") with Rosen Seymour Shapss Martin & Company LLP. Cronin CPA’s report on the financial statements for the year ended December 31, 2007 did not contain an adverse opinion or disclaimer of opinion, and was not qualified or modified as to uncertainty, audit scope or accounting principles. The decision to change its certifying accountant was approved by the Company's Board of Directors. During the year ended December 31, 2007, and the subsequent interim period through May 5, 2008 the Company has not had any disagreements with Cronin CPA on any matter of accounting principles or practices, financial statement disclosure or auditing scope or procedure.

Cronin CPA's letter, which is required pursuant to Item 304(a)(3) of Regulation S-B, is attached.
