N-SAR, or the transition report or portion thereof, could not be filed within
the prescribed time period.

     The financial statements for the Registrant's Form 11-K for the period
ending December 31, 1998 cannot be filed within 180 days of the fiscal year
end of the Registrant's 401(k) Associate Savings Plan (the "Plan") without
unreasonable effort or expense due to a change of the recordkeeper of the
Plan and the merger of the net assets of an acquired corporation's Profit
Sharing and 401(k) Plan into the Plan during fiscal 1998, which change and
merger have caused the financial statement preparation process to be slightly
delayed.

                             GENERAL INSTRUCTIONS

   Rules and Regulations under the Securities Exchange Act of 1934.

2. One signed original and four conformed copies of this form and amendments
   thereto must be completed and filed with the Securities and Exchange
   Commission, Washington, D.C. 20549, in accordance with Rule O-3 of the
   General Rules and Regulations under the Act. The information contained in
   or filed with the form will be made a matter of public record in the
   Commission files.
