Item 5.02     Departure of Directors or Principal Officers; Election of Directors; Appointment of Principal Officers.
     On August 8, 2006, William B. Sansom notified the Corporation of his resignation from the Board of Directors of the Corporation. Mr. Sansom indicated that his reason for resignation was the demanding time commitment he has made in connection with his recent appointment to the Board of Directors for the Tennessee Valley Authority (“TVA”) and subsequent election as Chairman of the TVA Board.
