Item 1.01Entry into Material Definitive Agreement
On October 8, 2020, Beazer Homes USA, Inc. (the “Company”) executed a Ninth Amendment (the “Amendment”) to the Second Amended and Restated Credit Agreement, dated as of September 24, 2012, between the Company, as borrower, the lenders party thereto, the issuers party thereto, and Credit Suisse AG, Cayman Islands Branch, as agent, as amended on November 10, 2014, November 6, 2015, October 13, 2016, October 24, 2017, October 1, 2018, February 20, 2019, September 9, 2019 and April 27, 2020 (as amended, the “Credit Agreement”). The Amendment, among other things:

permits the maximum aggregate amount of commitments under the Credit Agreement to be increased to up to $300 million pursuant to one or more additional incremental increases, subject to the approval of any lenders providing such increases,
l
revises the minimum liquidity covenant to require the Company to maintain minimum liquidity of $100 million unless the interest coverage ratio is greater than or equal to 1.00 to 1.00 and the housing collateral ratio is greater than or equal to 1.75 to 1.00, in which case the Company is then only required to maintain minimum liquidity of $50 million, and
lextends the termination date to February 15, 2023.
