Under the terms of such amended agreement, all of the reporting person's shares of restricted stock vested immediately upon the change in control event resulting from the completion of the tender offer for all shares of common stock of The Mills Corporation by SPG-FCM Ventures, LLC. The cash-settled restricted stock units were scheduled to vest in two equal annual installments on January 1, 2008 and January 1, 2009; vesting was accelerated upon the completion of the tender offer for all shares of common stock of The Mills Corporation by SPG-FCM Ventures, LLC.
