Under the terms of such amended agreement, all of the reporting person's shares of restricted stock vested immediately upon the change in control event resulting from the completion of the tender offer for all shares of common stock of The Mills Corporation by SPG-FCM Ventures, LLC. The cash-settled restricted stock units were scheduled to vest in two equal annual installments on April 1, 2009 and April 1, 2010; vesting was accelerated upon the change in control event resulting from the completion of the tender offer for all shares of common stock of The Mills Corporation by SPG-FCM Ventures, LLC.
