Conversion by Kan Am America Limited Partnership, an entity which the reporting person directly and indirectly wholly owns, of 93,554 Units into 93,554 shares of Common Stock. Immediately after this conversion transaction, the reporting person indirectly owned 93,647 shares of Common Stock, 93,554 shares of which were held through Kan Am America Limited Partnership and 93 shares of which were held through Kan Am, Inc., an entity that the reporting person wholly owns. Units represent limited partnership interests in The Mills Limited Partnership, the Operating Partnership of the Issuer and of which the Issuer is the sole general partner and majority Unit holder. The Units are exchangeable beginning one year after their issuance for Common Stock of the Issuer (on a 1-for-1 basis) or, at the Issuer?s election, for the cash value of such Common Stock.
