Item 1.01. Entry into a Material Definitive Agreement.

The Board of Directors of The Mills Corporation has formed a temporary Oversight Committee of the Board, comprised of three independent directors (Edward S. Civera, John M. Ingram and Robert P. Pincus). The Committee will, among other things, provide oversight and coordination as to matters arising out of or relating to the previously announced, pending restatement of the Company’s financial statements. On February 15, 2006, the Board determined that each member of the Committee will receive a quarterly retainer of $20,000.
