Item 8.01  Other Events.

On July 9, 2007, MFRI (the "Company") announced to its employees that Don Gruenberg, President of Thermal Care, Inc., the Company's Industrial Process Cooling Equipment Business, has advised the Company of his intent to retire as soon as a suitable replacement has been found.  The Company has retained an executive search firm to assist in its search for a replacement for Mr. Gruenberg.
