The exercise was effected pursuant to a Rule 10b5-1 trading plan adopted by the Reporting Person on February 21, 2014. This transaction reflects the sale of shares issued on exercise of the employee stock options reported above; pursuant to the Reporting Person's 10b5-1 trading plan adopted on February 21, 2014. Represents a weighted average sale price; the sales price ranged from $105.19 to $105.28.
