Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers

On December 2, 2022, Gibraltar Industries, Inc. (the “Company”) and Patrick M. Burns, the Company’s Chief Operating Officer, mutually agreed that Mr. Burns will depart from his position, effective December 30, 2022. Following such date, the responsibilities of Chief Operating Officer will be reallocated among members of the Company’s existing management team.
In connection with his departure from the Company, the Company executed a separation agreement with Mr. Burns (the “Separation Agreement”), pursuant to which, in exchange for a general release of claims and subject to compliance with the terms of the Separation Agreement, Mr. Burns will receive, among other things, (i) his current annual base salary (totaling $574,137.50) paid over a 15-month period, (ii) his incentive compensation under the Management Incentive Compensation Plan for 2022 when paid to other eligible employees and (iii) treatment of his outstanding equity-based incentive awards (including performance units, to the extent earned) in accordance with the terms of their respective plans.
