Item 2.02. Results of Operations and Financial Condition. 

On January 18, 2007, JDS Uniphase Corporation (the “Company”) issued a press release updating its revenue guidance for its second quarter ended December 31, 2006 of its fiscal year 2007. A copy of the Company’s press release is attached hereto as Exhibit 99.1.
