Item 5.      Other Events.

     On October 10, 2002, the Company issued a press release announcing that its
former auditor, Deloitte & Touche LLP, notified the Company that its report
dated September 28, 2001 on the consolidated financial statements of the Company
and its subsidiaries as of June 30, 2001 and 2000 and for each of the three
years in the period ended June 30, 2001 should no longer be relied upon or
associated with those consolidated financial statements. A copy of the press
release announcing this event is attached as Exhibit 99.1 hereto and
incorporated herein by reference.
