Item 1.01. Entry Into a Material Definitive Agreement.
     On January 9, 2006, the Compensation Committee of LodgeNet Entertainment Corporation approved the grant of restricted stock on a time vesting and performance vesting basis pursuant to the LodgeNet Entertainment Corporation 2003 Stock Option and Incentive Plan to LodgeNet’s named executive officers and the grant of restricted stock on a financial performance vesting basis to certain other employees. The restricted stock vesting on a time basis vests one half on January 8, 2009 and the balance on January 8, 2010. The restricted stock vesting on a financial performance basis vests when the Company has achieved a target level cumulative earnings per share for a three-year period.
