The securities to be registered hereby are the depositary shares (“Depositary Shares”), each representing a 1/40th interest in a share of Fixed-to-Floating Rate Series A Noncumulative Perpetual Preferred Stock, liquidation preference $1,000 per share, par value $0.01 per share (the “Series A Preferred Stock”), of Flagstar Bank, National Association.
