This type of security normally doesn't reflect the conversion or exercise price. These stock units were erroneously reported as outstanding on the Form 4's filed for (2/7/03, 2/14/03, 2/28/03, 3/14/03, 3/31/03, 4/15/03, 4/30/03 and 5/15/03) when the derivative securities should have already been issued. Such Form 4's are hereby amended accordingly. The 2003-2 Deferred Stock Compensation Plan was terminated effective November 17, 2005, and the number of shares indicated were distributed as of December 2, 2005, pursuant to the participant's election. The fractional share was paid in cash. These stock units were accrued under The Beard Company 2005 Deferred Stock Compensation Plan and are to be settled 100% in BRCO Common Stock upon the reporting person's termination of service or termination of the Plan. On February 7, 2003, B & M Limited purchased $50,000 of the Company's 10% Subordinated Notes, together with Warrants to purchase 5,000 shares of Beard's Common stock.
