Item 5.02Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

 

On May 31, 2019, Stephen Clark notified ATRM Holdings, Inc. (“ATRM” or the “Company”) of his resignation as Chief Financial Officer, Treasurer and Secretary of the Company, effective May 31, 2019. Mr. Clark’s resignation did not result from any disagreement with the Company or any person affiliated with the Company.

On May 31, 2019, the Board of Directors of the Company (the “Board”) formally appointed Daniel Koch as the Company’s principal financial officer, effective May 31, 2019. Mr. Koch, 65, has served as the Company’s President and Chief Executive Officer, and has been a member of the Board since November 2013.
