ITEM 2.02 RESULTS OF OPERATIONS AND FINANCIAL CONDITION.

On February 27, 2006, Nuvelo, Inc. issued a press release regarding Nuvelo’s financial results for its fourth quarter and year ended December 31, 2005 and Nuvelo’s outlook for 2006. A copy of Nuvelo’s press release, titled “Nuvelo Reports 2005 Fourth Quarter and Year End Results and Accomplishments and Provides 2006 Outlook,” is attached hereto as Exhibit 99.1.
