Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On February 18, 2014, Greg Cooper notified Pervasip Corp. (the “Company”) of his decision to resign as a member of the Company’s Board of Directors. Mr. Cooper’s decision to resign was for personal reasons and was not a result of any disagreement with the Company on any matter relating to the Company’s operations, policies or practices.
