Item 2.02.    Results of Operations and Financial Condition

On December 6, 2005, Sunrise Telecom Incorporated (the "Company") held an Investor Meeting at which it presented its financial results for the third quarter ended September 30, 2005.   A copy of the conference call script is attached as Exhibit 99.1 to this report and incorporated herein by reference.
