Item 2.02 Results of Operations and Financial Condition

On November 14, 2005, Sunrise Telecom Incorporated (the "Company") issued a press release announcing that it has filed a request with the Securities and Exchange Commission for a five-day extension with respect to the filing of its Quarterly Report on Form 10-Q for the quarter ended September 30, 2005, as permitted by Rule 12b-25 under the Securities Exchange Act of 1934 pending completion of a special investigation into certain transactions and issues involving its sales office in Korea. The investigation is being conducted under the direction of the Audit Committee of Sunrise's Board of Directors. Sunrise expects to file its Quarterly Report on Form 10-Q upon completion of the special investigation. A copy of this press release is attached as Exhibit 99.1 to this report.

SAN JOSE, Calif., Nov 14 /PRNewswire-FirstCall/ -- Sunrise Telecom Incorporated (NASDAQ:SRTI - News), today announced that it has filed a request with the Securities and Exchange Commission for a five-day extension with respect to the filing of its Quarterly Report on Form 10-Q for the quarter ended September 30, 2005, as permitted by Rule 12b-25 under the Securities Exchange Act of 1934.

The delay is primarily due to the Company's need for additional time to complete a special investigation into certain transactions and issues involving its sales office in Korea that the company announced on November 7, 2005.
