This Tender Offer Statement on Schedule TO (this “Schedule TO”) relates to the offer by Key Technology, Inc., an Oregon corporation (the “Company”), to exchange (the “Exchange Offer”) one share of its Series D Convertible Preferred Stock, $0.01 par value (“Series D Preferred”), for each outstanding share of its Series B Convertible Preferred Stock, $0.01 par value (“Series B Preferred”), upon the terms and subject to the conditions contained in the Offering Memorandum dated April 25, 2002 (the “Offering Memorandum”) and the related Letter of Transmittal, both of which are filed as exhibits to this Schedule TO. Up to an aggregate of 1,137,404 shares of Series D Preferred may be issued in the Exchange Offer.
