Item 5.02

Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On May 31, 2019, Kenneth Phillips informed the Company that he will resign from his position as Senior Vice-President and General Counsel effective June 30, 2019. Mr. Phillips and the Company agreed that he would remain employed as a non-executive officer of the Company from July 1, 2019 through September 1, 2019 to assist in the transition of his duties to his successor.

Other Events

On May 31, 2019, the Company appointed Wayne Kauffman as Vice-President and General Counsel effective July 1, 2019. Mr. Kauffman has been employed by the Company since 2013 and is currently its Chief Intellectual Property Counsel and Associate General Counsel.
