On October 15, 2010, the reporting person settled a prepaid variable contract originally entered into on October 15, 2009. At the initiation of the contract, the bank paid $405,894.39 to the reporting person. The forward sale contract obligated the reporting person to deliver to the bank at maturity up to 50,000 shares of the Issuer's common stock depending on market prices at maturity. If the market price per share at maturity was equal to or less than the floor price of $10.0906 per share, the reporting person would deliver 50,000 shares to the bank. If the market price per share at maturity was greater than $10.0906, the reporting person would deliver a fewer number of shares. The closing market price per share on October 15, 2010 was $6.15. Accordingly, the reporting person transferred to the bank 50,000 shares of the Issuer's common stock.
