At the initiation of the contract, the bank paid $764,627.92 to the reporting person. The forward sale contract obligated the reporting person to deliver to the bank at maturity up to 119,722 shares of the Issuer's common stock depending on market prices at maturity. If the market price per share at maturity was equal to or less than the floor price of $7.71 per share, the reporting person would deliver 119,722 shares to the bank. If the market price per share at maturity was greater than the floor price, the reporting person would deliver a fewer number of shares. The market price per share on January 8, 2010 was $9.00. Accordingly, the reporting person transferred to the bank 102,607 shares of the Issuer's common stock and the bank returned 17,115 of the pledged shares to the reporting person.
