&lt;/font&gt;&lt;font style="font-family:Times New Roman;font-size:8pt;font-style:italic;"&gt;amended (the &amp;#8220;1999 Dividend Reinvestment Plan&amp;#8221;): &lt;/font&gt;&lt;font style="font-family:Times New Roman;font-size:8pt;"&gt;Allows holders of common shares to automatically reinvest distributions and certain holders and persons who are not holders of common shares to purchase a limited number of additional common shares by making optional cash payments, without payment of any brokerage commission or service charge. Common shares that are acquired under the 1999 Dividend Reinvestment Plan through reinvestment of distributions are acquired at a price we determine ranging from 98% to 100% of the market price of such common shares.&lt;/font&gt;&lt;/p&gt;&lt;p style='margin-top:0pt; margin-bottom:0pt'&gt;&amp;#160;&lt;/p&gt;&lt;p style='margin-top:0pt; margin-bottom:0pt'&gt;&lt;font style="font-family:Times New Roman;font-size:8pt;margin-left:0px;"&gt;&amp;#8226;&amp;#160;&amp;#160;&amp;#160;&amp;#160;&amp;#160;&amp;#160;&amp;#160;&lt;/font&gt;&lt;font style="font-family:Times New Roman;font-size:8pt;font-style:italic;"&gt;Controlled Offering Program:&lt;/font&gt;&lt;font style="font-family:Times New Roman;font-size:8pt;"&gt;&amp;#160;&lt;/font&gt;&lt;font style="font-family:Times New Roman;font-size:8pt;"&gt;In March 2010, we entered into a new plan agreement that allows us to sell up to 48.1 million common shares, &lt;/font&gt;&lt;font style="font-family:Times New Roman;font-size:8pt;"&gt;which includes &lt;/font&gt;&lt;font style="font-family:Times New Roman;font-size:8pt;"&gt;8.1 million &lt;/font&gt;&lt;font style="font-family:Times New Roman;font-size:8pt;"&gt;common &lt;/font&gt;&lt;font style="font-family:Times New Roman;font-size:8pt;"&gt;shares that remained unsold under our previous program, through two designated agents, who earn a fee &lt;/font&gt;&lt;font style="font-family:Times New Roman;font-size:8pt;"&gt;of &lt;/font&gt;&lt;font style="font-family:Times New Roman;font-size:8pt;"&gt;up to 2% of the gross proceeds, as agreed &lt;/font&gt;&lt;font style="font-family:Times New Roman;font-size:8pt;"&gt;to &lt;/font&gt;&lt;font style="font-family:Times New Roman;font-size:8pt;"&gt;on a transaction-by-transaction basis. Such dividends are payable quarterly in arrears on the last day of March, June, September and December. Dividends on preferred shares are payable when, and if, they have been declared by the Board, out of funds legally available for the payment of dividends. After the respective redemption dates, each series of preferred shares can be redeemed at our option. The cash redemption price (other than the portion consisting of accrued and unpaid dividends) with respect to Series&amp;#160;C Preferred Shares is payable solely out of the cumulative sales proceeds of our other capital shares, which may include shares of other series of preferred shares. &lt;/font&gt;&lt;font style="font-family:Times New Roman;font-size:8pt;"&gt;is estimated.&lt;/font&gt;&lt;/p&gt;&lt;p style='margin-top:0pt; margin-bottom:0pt'&gt;&amp;#160;&lt;/p&gt;&lt;p style='margin-top:0pt; margin-bottom:0pt'&gt;&lt;font style="font-family:Times New Roman;font-size:8pt;margin-left:0px;"&gt;In order to comply with the REIT requirements of the Code, we are generally required to make common share distributions (other than capital gain distributions) to our shareholders at least equal to (i)&amp;#160;the sum of (a)&amp;#160;90% of our &amp;#8220;REIT taxable income&amp;#8221; computed without regard to the dividends paid deduction and net capital gains and (b)&amp;#160;90% of the net income (after tax), if any, from foreclosure property, minus (ii)&amp;#160;certain excess non-cash income. Our common share distribution policy is to distribute a percentage of our cash flow to ensure we will meet the distribution requirements of the Code, while allowing us to maximize the cash retained to meet other cash needs, such as capital improvements and other investment activities.&lt;/font&gt;&lt;/p&gt;&lt;p style='margin-top:0pt; margin-bottom:0pt'&gt;&amp;#160;&lt;/p&gt;&lt;p style='margin-top:0pt; margin-bottom:0pt'&gt;&lt;font style="font-family:Times New Roman;font-size:8pt;margin-left:0px;"&gt;Common share distributions are characterized for federal income tax purposes as ordinary income, qualified dividend, capital gains, non-taxable return of capital or a combination of the four. Common share distributions that exceed our current and accumulated earnings and profits (calculated for tax purposes) constitute a return of capital rather than a dividend and generally reduce the shareholder's basis in the common shares. To the extent that a distribution exceeds both current and accumulated earnings and profits and the shareholder's basis in the common shares, it will generally be treated as a gain from the sale or exchange of that shareholder's common shares. At the beginning of each year, we notify our shareholders of the taxability of the common share distributions paid during the preceding year.&lt;/font&gt;&lt;/p&gt;&lt;p style='margin-top:0pt; margin-bottom:0pt'&gt;&amp;#160;&lt;/p&gt;&lt;p style='margin-top:0pt; margin-bottom:0pt'&gt;&lt;font style="font-family:Times New Roman;font-size:8pt;margin-left:0px;"&gt;The payment of common share distributions is dependent upon our financial condition, operating results and REIT distribution requirements and may be adjusted at the discretion of the Board during the year. A cash distribution of $&lt;/font&gt;&lt;font style="font-family:Times New Roman;font-size:8pt;"&gt;0&lt;/font&gt;&lt;font style="font-family:Times New Roman;font-size:8pt;"&gt;.1125&lt;/font&gt;&lt;font style="font-family:Times New Roman;font-size:8pt;"&gt; per common share for the first quarter of &lt;/font&gt;&lt;font style="font-family:Times New Roman;font-size:8pt;"&gt;2011&lt;/font&gt;&lt;font style="font-family:Times New Roman;font-size:8pt;"&gt; was declared on &lt;/font&gt;&lt;font style="font-family:Times New Roman;font-size:8pt;"&gt;January 3&lt;/font&gt;&lt;font style="font-family:Times New Roman;font-size:8pt;"&gt;0&lt;/font&gt;&lt;font style="font-family:Times New Roman;font-size:8pt;"&gt;, &lt;/font&gt;&lt;font style="font-family:Times New Roman;font-size:8pt;"&gt;2011&lt;/font&gt;&lt;font style="font-family:Times New Roman;font-size:8pt;"&gt;.
