The obligations under the Series A Credit Agreement and the Series B Credit Agreement are guaranteed by ROC and RBH. These guaranties are full, unconditional, and joint and several.

 

The Predecessor Credit Facility was guaranteed by the Subsidiaries, which are all of the Company’s restricted subsidiaries. These guaranties were full, unconditional, and joint and several. RHC’s unrestricted subsidiaries, which have no operations and do not significantly contribute to its financial position or results of operations, were not guarantors of the Predecessor Credit Facility.
