Item 2.02 Results of Operations and Financial Condition.

On November 16, 2006, Finlay Enterprises, Inc. (‘‘Finlay Enterprises’’), the parent of Finlay Fine Jewelry Corporation, issued a press release announcing Finlay Enterprises' financial results for the third quarter and nine months ended October 28, 2006. A copy of the press release is attached as Exhibit 99.1 to this Current Report on Form 8-K.
