Chico’s FAS, Inc. (the “Company”), filed with the Securities and Exchange Commission a registration statement on Form S-8, Number 333-86253, on August 31, 1999 (the “Registration Statement”), to register shares of common stock of the Company (the “Securities”) to be offered under the Company’s 1993 Stock Option Plan.

The purpose of this Post-Effective Amendment No. 1 to the Registration Statement is to deregister such portion of the Securities, previously registered under the Registration Statement, which have not been sold as of the date this Post-Effective Amendment is filed.
