11. COMMON AND PREFERRED STOCK

The Company has authorization to issue up to 20,000,000 shares of common stock, par value $0.01. The Term Loan Agreementprohibits the payment of dividends or share repurchases by the Company prior to February 1, 2021.

The Company has authorization to issue up to 1,656,381 shares of preferred stock, par value $0.01. There was no preferred stock issued or outstanding as of February 2, 2019 and February 3, 2018.
