Item 8.01.  Other Events.

On October 6, 2010, GeoGlobal Resources Inc. (the “Company”) issued a press release announcing that the Company obtained a commitment from an institutional investor to purchase 7,000,000 shares of the Company’s common stock in a registered direct offering for aggregate gross proceeds of US$5.95 million (the “Offering”). A copy of the Company’s press release dated October 6, 2010 is attached hereto as Exhibit 99.1.

On October 15, 2010, the Company issued a press release announcing that the Company closed the Offering.  A copy of the Company’s press release dated October 15, 2010 is attached hereto as Exhibit 99.2.

GEOGLOBAL ANNOUNCES PROPOSED US$5.95M FINANCING

Calgary, Alberta, Canada, October 6, 2010 – GeoGlobal Resources Inc. (“GeoGlobal” or the “Company”) (NYSE/Amex: GGR) announces that it has obtained a commitment from an institutional investor to purchase 7,000,000 shares of the Company's common stock in a registered direct offering for aggregate gross proceeds of US$5,950,000.

This transaction is expected to close on or about October 8, 2010.

REGISTERED DIRECT OFFERING OF COMMON STOCK

Calgary, Alberta, Canada, October 15 2010 – GeoGlobal Resources Inc. (“GeoGlobal” or the “Company”) (NYSE/Amex: GGR) announces that it has closed its previously announced registered direct offering of 7,000,000 shares of the Company’s common stock to an institutional investor for aggregate gross proceeds of US$5.95 million.  GeoGlobal estimates that the net proceeds of the offering, after deducting offering expenses, will be approximately $5.88 million.
