Amendment Description	Digital Power Corporation (“Company) is filing this Amendment No. 1 (this “Amendment) to its Quarterly Report on Form 10-Q for the quarter ended June 30, 2013 (the “Original Form 10-Q”) originally filed with the Securities and Exchange Commission on August 19, 2013. The registrant is filing this Amendment to reclassify the impairment of its investment in Telkoor Telecom Ltd. ("Telkoor") from operating expenses to a separate other expense line item on its Consolidated Statements of Operations below operating income consistent with prior reporting and ASC 820 (Fair Value Measurements). The registrant has amended its Consolidated Balance Sheets, Consolidated Statements of Operations, and Notes 6 and 7 to Consolidated Financial Statements to reflect the reclassification. Further explanation as to the methodology used to establish the valuation of the investment in Telkoor is also provided in Note 7. In addition, to reflect this change the Company has also amended Risk Factors, Results of Operations, and Exhibit 99.1 (Press Release issued to report its financial results for the Quarter Ended June 30, 2013). In addition, the Company provided information about the appointment of a new VP of Finance, corrected various typographical errors in the original submission, and made other minor changes. For the convenience of the reader, the document has been refiled in its entirety together with updated officer certifications.
