Item 2.02 Results of Operations and Financial Condition.

On May 12, 2008, Ener1, Inc. ("Ener1") issued a press release entitled "Ener1, Inc. Reports Q1 2008 Results." The full text of the press release is provided herewith as Exhibit 99.1.
