(3)

Is it anticipated that any significant change in results of operations from the corresponding period for the last fiscal year will be reflected by the earnings statements to be included in the subject report or portion thereof ?

If so, attach an explanation of the anticipated change, both narratively and quantitatively, and, if appropriate, state the reasons why a reasonable estimate of the results cannot be made.

For the year ended December 31, 2006, the Registrant had revenues of $12,184 and a net loss of $2,290,260. For the year ended December 31, 2007, the Registrant currently estimates that it had revenues of approximately $17,000 and a net loss of approximately $1.36 million. Results for the 2007 fiscal year remain subject to further adjustment.

The decrease in the net loss for the 2007 period is primarily attributable to the fact that the 2006 period included stock compensation expenses totaling $1.6 million incurred from the issuance of options to employees. Such decrease was partially offset by financing costs of $129,000 related to the change in terms of warrants issued and increased interest expenses of $91,000.
