Item 5.02  Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.
 
On July 31, 2007, William B. Edwards resigned as a member of the board of directors of PowerLinx, Inc. (the “Company”), effective as of the same date. Mr. Edwards resigned for personal reasons and the Company is currently searching for a suitable replacement to fill the vacancy created.
